These Terms of Service (“Agreement”) govern your access to and use of ALL HAIL TAXIS LLC (“ALL HAIL TAXIS,” “we,” “our,” or “us”) and www.AllHailTaxis.com (the “Website”), including taxi rental listings, vehicle sale listings, direct taxi management and leasing services, business directory listings, claimed business profiles, advertising services, sponsored placements, Taxi Hotspots, Taxi Market Index information, Taxi Insights emails, SMS alerts, WhatsApp alerts, and related features.

By accessing the Website, creating an account, submitting a listing, claiming a business listing, managing a business profile, purchasing a service, using Website tools, subscribing to communications, or otherwise using our services, you acknowledge and agree to these Terms and our Privacy Policy.

2. Website Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You may not use the Website to post, transmit, promote, or distribute false, misleading, fraudulent, unlawful, abusive, defamatory, infringing, spam, or unauthorized content.

You must be at least 18 years old to use the Website or subscribe to our communications.
You are responsible for the accuracy, legality, and completeness of any information or content you submit.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You may not impersonate another person or business, misrepresent your authority, or create accounts using false information.
You may not scrape, copy, harvest, download, reproduce, reverse engineer, or commercially misuse Website data, content, tools, or features without written permission.
You may not interfere with the Website’s security, operation, availability, performance, accounts, forms, communications, or payment systems.
You may not introduce malware, automated bots, unauthorized scripts, fraudulent submissions, or other harmful technology.

3. Listings, Direct Taxi Services & Marketplace Disclaimer

The Website may allow owners, fleets, businesses, advertisers, sponsors, and users to submit or view listings related to taxi rentals, vehicles for sale, taxi services, business services, advertising, and related opportunities.

For listings, vehicles, businesses, products, services, advertisements, and transactions offered by independent third parties, ALL HAIL TAXIS LLC does not own, lease, rent, sell, broker, inspect, endorse, guarantee, or control the applicable vehicle, medallion, rental arrangement, listing, business, product, service, advertisement, or transaction.

ALL HAIL TAXIS may separately provide direct taxi management, medallion taxi leasing, advertising, or related services. Direct services may be governed by separate written leases, management agreements, advertising agreements, payment terms, policies, or disclosures. If a separate written agreement conflicts with these Website Terms, the separate agreement will control for that service.

Users are responsible for verifying third-party listing accuracy, pricing, availability, vehicle condition, ownership, licensing, insurance, TLC compliance, and legal requirements.
ALL HAIL TAXIS is not responsible for disputes between drivers, owners, fleets, advertisers, businesses, buyers, sellers, renters, or independent service providers.
Vehicle availability, lease eligibility, approval, rates, deposits, schedules, and service terms are not guaranteed.
Direct taxi leasing or management eligibility may depend on TLC licensing, driving history, insurance requirements, documentation, availability, and other applicable criteria.
Responsibility for tolls, tickets, violations, damage, maintenance, insurance, deposits, payments, and vehicle return will be governed by the applicable written agreement.
We may review, edit, reject, remove, suspend, expire, or delete listings or content at our discretion.

4. Business Accounts & Claimed Listings

Business owners may create accounts or submit requests to claim, manage, update, promote, or feature business listings on the Website.

Business owners are responsible for all information submitted through their accounts, claim requests, profiles, advertisements, photos, videos, descriptions, offers, and contact details.
Users requesting control of a listing represent that they are authorized to act for the applicable business.
We may request identification, ownership records, business documents, email verification, phone verification, or other evidence before granting access.
We may deny, suspend, revoke, or remove claimed-listing access if ownership, authorization, accuracy, payment, or compliance cannot be verified.
Claiming or managing a business listing does not create a partnership, employment, endorsement, agency, franchise, or joint-venture relationship.
Claiming, featuring, or promoting a listing does not guarantee placement, ranking, leads, calls, inquiries, sales, bookings, or results.

5. Taxi Hotspots, Market Index & Data Tools

The Website may provide Taxi Hotspots, airport wait times, airport taxi lot information, dispatch counts, demand indicators, maps, traffic information, passenger activity estimates, rental-rate benchmarks, trip counts, vehicle and driver counts, medallion values, market trends, calculated estimates, historical information, and other industry tools.

Taxi Hotspots, Taxi Market Index information, airport data, market information, and related tools are provided for general informational purposes only.

Information may be estimated, delayed, inaccurate, incomplete, unavailable, revised, or changed without notice.
Information may be derived from public records, third-party sources, historical data, calculations, reports, or estimates.
We do not guarantee passenger availability, fares, trips, income, wait times, airport conditions, market values, rental rates, demand levels, investment results, or business outcomes.
Drivers are solely responsible for their driving, positioning, safety, financial, business, and regulatory decisions.
Users assume all risk when relying on Taxi Hotspots, airport data, maps, benchmarks, market indicators, or other Website information.
Website data does not constitute legal, financial, investment, tax, insurance, transportation, safety, or TLC compliance advice.

6. Advertising Services

ALL HAIL TAXIS may offer advertisements, sponsored placements, featured listings, business directory listings, taxi-top advertising opportunities, self-service Digital Taxi-Top Advertising campaigns, message blasts, email placements, and other promotional services.

We do not guarantee impressions, clicks, views, leads, calls, inquiries, sales, bookings, rentals, revenue, conversions, return on investment, or business performance.
Estimated impressions are modeled audience opportunities based on campaign playback, operating periods, geographic activity, available inventory, and the current ALL HAIL TAXIS measurement methodology. Estimated impressions do not represent guaranteed individual viewers, verified persons, engagement, or conversions.
Proof-of-play records, when provided, verify recorded playback delivery and do not identify individual viewers or guarantee audience size, attention, response, or business results.
Advertisers are responsible for the accuracy, truthfulness, legality, substantiation, permissions, disclosures, and intellectual-property rights associated with their advertisements, offers, claims, images, videos, audio, links, landing pages, products, services, and contact information.
Advertisers must possess all necessary copyrights, trademarks, licenses, releases, consents, and authorizations required for submitted creative materials and advertised products or services.
Advertisers must comply with applicable advertising, privacy, consumer-protection, intellectual-property, transportation, industry, and other legal or regulatory requirements.
All advertisements and creative materials are subject to review and approval before launch. We may request revisions or reject, edit, pause, reposition, suspend, remove, or decline advertisements that violate these Terms, our policies, third-party requirements, technical requirements, or applicable law.
Submission, payment, order confirmation, or selection of requested campaign dates does not constitute final creative approval or guarantee a launch date, placement, route, vehicle, market position, or uninterrupted delivery.
Advertisers must submit creative materials that comply with the selected 15-second or 30-second campaign length and all applicable file-format, dimension, resolution, content, and technical requirements disclosed by the Website, checkout, creative guidelines, or separate written agreement.
Campaign launch may be delayed until payment is completed, required information is received, creative materials are approved, technical requirements are satisfied, and inventory is available.
Requested campaign dates, dayparts, geographic coverage, delivery levels, placement, distribution, inventory, routes, vehicles, screens, and availability are subject to operational conditions and may change before or during a campaign.
Operational conditions may include vehicle availability, maintenance, hardware or software issues, network connectivity, route changes, traffic, weather, public-safety concerns, government action, regulatory restrictions, third-party outages, force majeure events, or other circumstances beyond reasonable control.
When reasonably necessary, we may pause, extend, reschedule, substitute, reposition, or provide comparable inventory, delivery, makegoods, service credits, or another reasonable remedy. Unless expressly stated in writing, advertisers are not guaranteed a specific vehicle, route, screen, continuous uninterrupted playback, or exclusive placement.
Advertiser delays, late submissions, missing information, rejected creative, requested revisions, or failure to satisfy technical or legal requirements may delay the campaign and may require rescheduling subject to inventory availability.
Cancellation, refund, credit, and rescheduling eligibility are governed by these Terms, the applicable checkout disclosures, the stage of campaign preparation or delivery, costs already incurred, and any separate written advertising agreement.
Unless otherwise stated in writing or required by law, completed advertising services, activated campaigns, delivered placements, approved message blasts, and completed sponsored placements are non-refundable.
By submitting an advertising order, checking the required advertising-terms acknowledgment, uploading creative materials, or authorizing payment, the advertiser confirms acceptance of these Terms and represents that the advertisement may be reviewed and approved before publication or campaign launch.

7. Email, SMS & WhatsApp Consent

By subscribing to Taxi Insights emails, SMS notifications, and/or WhatsApp notifications, you:

You are responsible for providing an email address or phone number that belongs to you or that you are authorized to use.

8. Email, SMS & WhatsApp Service Overview

Our communications may include, but are not limited to:

📧 Taxi Insights emails featuring Taxi market updates, policy changes, rental trends, strategy, and industry news from key Taxi markets.

🚖 Real-time or periodic alerts for new taxi rental listings and driver opportunities.

📍 Taxi Hotspots updates, airport information, and related driver tools.

📢 Important updates concerning listings, inquiries, claim requests, accounts, purchases, services, or business profiles.

🎉 Promotions, special offers, sponsored messages, advertising opportunities, and exclusive deals from ALL HAIL TAXIS or approved advertisers.

Communications may be delivered through email, SMS, WhatsApp, or another method selected by the user or reasonably related to the service requested.

9. How to Opt Out

You may unsubscribe from marketing communications at any time:

📲 For SMS: Reply STOP to an applicable SMS message.

Upon opting out:

11. Message & Data Rates; Frequency

Standard message and data rates may apply, depending on your wireless provider, mobile plan, location, and communication service.
Message and email frequency will vary based on your activity, subscriptions, listings, claim requests, services, available news, promotions, and preferences.
You are responsible for carrier, data, internet, device, or communication-service charges.
ALL HAIL TAXIS does not charge a separate fee solely for receiving ordinary SMS or WhatsApp alerts unless expressly disclosed.

12. Supported Carriers & Delivery

Our SMS service may be supported by most major U.S. wireless carriers.
WhatsApp messaging may be available where WhatsApp and the applicable service are supported.
Email delivery may depend on the recipient’s email provider, spam filters, storage limits, security settings, and network availability.
Delivery is not guaranteed and may be affected by:
- Network congestion or service disruptions
- Carrier, email-provider, or platform restrictions
- Spam filters, blocked senders, or device settings
- Invalid, inactive, or unavailable contact information
- Twilio, WhatsApp, SMTP, hosting, or third-party platform policies
We are not liable for delayed, undelivered, blocked, filtered, misdirected, or failed communications.

13. Payments, Packages, Cancellations & Refunds

The Website may offer paid listings, featured listings, directory packages, claimed-listing upgrades, advertisements, sponsored placements, message blasts, direct taxi services, or other paid products and services.

Prices, package features, availability, duration, eligibility, and promotional offers may change before purchase.
Applicable taxes, processing fees, deposits, or additional charges may be disclosed at checkout or in a separate agreement.
Payment does not guarantee traffic, ranking, views, leads, calls, rentals, sales, income, advertising performance, or business results.
Advertising orders are not final until payment is accepted, required information is received, creative materials are approved, and applicable inventory is available. A requested campaign date is not guaranteed.
Unless otherwise stated in writing, fees for completed digital services, activated listing packages, delivered message blasts, published advertisements, activated advertising campaigns, and completed sponsored placements are non-refundable.
Cancellation, credit, rescheduling, or refund eligibility for an unfinished advertising campaign or other service will depend on the applicable package, checkout disclosures, requested dates, creative-review status, scheduling status, stage of performance, inventory commitments, third-party charges, and costs already incurred.
If ALL HAIL TAXIS is unable to materially deliver an advertising campaign for reasons within its reasonable control, the available remedy may include an extension, rescheduling, comparable placement, makegood, service credit, or proportional refund, as reasonably determined and as required by applicable law.
Direct taxi management or leasing payments, deposits, refunds, damage charges, late fees, and termination terms are governed by the applicable written agreement.
Any automatic renewal or recurring billing arrangement will be disclosed before enrollment or purchase.
Users must contact us promptly concerning suspected billing errors or unauthorized charges.
Fraudulent, abusive, or improper payment disputes or chargebacks may result in suspension, collection activity, cancellation of services, or recovery of related costs where permitted by law.

14. Data Privacy & Security

We do not sell or rent email lists or phone-number lists to unrelated third parties for their own direct-marketing purposes.
Information may be processed by service providers necessary for Website hosting, payments, analytics, security, advertising, email, SMS, WhatsApp, maps, data tools, and communications.
We may use Twilio, SMTP providers, payment processors, hosting providers, analytics services, and similar providers.
No Website, database, transmission method, or storage system can be guaranteed to be completely secure.

16. Intellectual Property & User Content

All Website content, branding, trademarks, graphics, logos, designs, text, features, maps, layouts, software, data presentations, videos, photographs, and materials created by or for ALL HAIL TAXIS are owned by ALL HAIL TAXIS or its licensors and may not be copied, reproduced, scraped, republished, distributed, modified, or commercially used without permission.

By submitting content to the Website, including listings, images, videos, logos, text, business information, claim requests, directory information, testimonials, or advertisements, you:

ALL HAIL TAXIS disclaims warranties concerning accuracy, availability, merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, security, results, or error-free performance to the extent legally permitted.

To the fullest extent permitted by law, ALL HAIL TAXIS LLC shall not be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or economic damages arising from or related to:

Incorrect listings, inaccurate data, unavailable tools, delayed communications, security incidents, advertising performance, or decisions based on Website information.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ALL HAIL TAXIS LLC, its owners, officers, employees, contractors, service providers, agents, and affiliates from claims, losses, liabilities, damages, judgments, penalties, costs, or expenses, including reasonable legal fees, arising from:

Information available through the Website is provided for general informational and business purposes only.

It is not legal, financial, investment, insurance, transportation, TLC compliance, tax, accounting, safety, mechanical, or other professional advice. You should consult qualified professionals and appropriate government agencies before making legal, financial, operational, regulatory, insurance, or safety decisions.

20. Changes to Terms

We may update these Terms of Service periodically to reflect changes in our services, policies, technology, or legal obligations.
Changes will be posted on the Website with a revised effective date.
Material changes may also be communicated through the Website, email, or another reasonable method.

21. Governing Law & General Terms

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Separate Agreements: A separate written agreement for direct taxi management, leasing, advertising, or another service will control if it expressly conflicts with these Terms.

No Waiver: Failure to enforce a provision does not waive the right to enforce it later.
Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a restructuring, transfer, sale, or similar business transaction.
Force Majeure: We are not responsible for delay or failure caused by events beyond our reasonable control, including outages, platform failures, government actions, emergencies, labor disputes, severe weather, or network interruptions.
Entire Agreement: These Terms, the Privacy Policy, applicable purchase disclosures, and any separate written agreement constitute the applicable agreement between you and ALL HAIL TAXIS.
Electronic Communications: You agree that electronic notices, confirmations, records, and agreements may satisfy applicable written-communication requirements.
Survival: Provisions concerning payments, intellectual property, disclaimers, liability, indemnification, disputes, and other provisions intended by their nature to survive will remain effective after termination.
